Terms of Service

1. About Fulcrank

Fulcrank is a social media management platform that helps you create AI-generated content, schedule posts to Instagram, and track analytics. By creating an account or using the Service at www.fulcrank.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms, together with our Privacy Policy and Cookie Policy, govern your use of the Service.

2. Account Registration

To use the Service, you must create an account using GitHub or Google OAuth. You agree that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction.
  • The information provided through your OAuth provider is accurate.
  • You will maintain one account per person. Duplicate accounts may be terminated.
  • You are responsible for all activity that occurs under your account.

3. Subscription and Billing

Fulcrank operates on a subscription model with credit-based usage:

  • Pro Plan — Includes 90 credits per month for AI content generation.
  • Auto-renewal — Subscriptions automatically renew at the end of each billing period unless cancelled.
  • Payment — All payments are processed securely by Stripe. We do not store your card details.
  • Price changes — We will give you at least 30 days' written notice before any price increase takes effect. You may cancel before the new price applies.

4. Credits

Credits are the unit used to generate AI content on Fulcrank:

  • Credits are allocated monthly as part of your subscription plan.
  • Unused credits do not roll over to the next billing period.
  • Credits reset on each renewal date.
  • Additional credits may be available through the Workshop feature.
  • Credits have no cash value and are non-transferable.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • You retain access to the Service until the end of your current billing period.
  • You may reactivate your subscription before the billing period ends.
  • At the end of the billing period: your credits are zeroed, scheduled posts are cancelled, and your Instagram account is disconnected.
  • Your brand settings and content history are retained for 30 days after the billing period ends, then permanently deleted.

Refunds: We do not offer prorated refunds for partial billing periods. If you cancel mid-cycle, you continue to have access until the period ends but no refund is issued for the remaining time. In exceptional circumstances, refund requests may be considered on a case-by-case basis — contact support@fulcrank.com.

If you are unable to cancel through the in-app interface, you may cancel by emailing support@fulcrank.com from the email address associated with your account.

6. AI-Generated Content

Fulcrank uses artificial intelligence to generate social media content including captions, images, and videos:

  • Ownership — You own the content generated through the Service using your brand data and preferences.
  • Publishing — By default, generated content is published automatically on your chosen schedule. You may enable an approval mode in your account settings so that each post requires your explicit approval via email before it goes live.
  • No guarantees — AI-generated content is provided as suggestions. We do not guarantee that generated content will be accurate, appropriate, or suitable for your purposes.
  • Service improvement — We may use anonymised, aggregated data about content generation patterns to improve the Service. We will not use your specific brand data or content for any purpose other than providing the Service to you.
  • Your responsibility — Whether content is published automatically or via approval mode, you are responsible for the content posted to your account and for ensuring it complies with Instagram's Terms of Use and Community Guidelines.

7. Instagram Integration

The Service connects to Instagram through our integration partner Late (getlate.dev):

  • By connecting your Instagram account, you grant Fulcrank permission to publish content, retrieve analytics, and manage scheduled posts on your behalf.
  • Instagram is a third-party service. Fulcrank is not responsible for any actions taken by Instagram, including account suspensions, restrictions, or bans that may result from content posted via the Service.
  • You may disconnect your Instagram account at any time from your account settings.
  • You must comply with Instagram's Terms of Use and Community Guidelines when using the Service.

8. Acceptable Use

You agree not to use the Service to generate, approve, or publish content that:

  • Contains hate speech, harassment, or threats of violence.
  • Is sexually explicit or exploitative.
  • Promotes illegal activities or substances.
  • Infringes on intellectual property or copyright.
  • Impersonates another person or entity.
  • Constitutes spam, including mass posting or automated engagement schemes.
  • Violates Instagram's Community Guidelines or Terms of Use.

We reserve the right to suspend or terminate accounts that violate these rules.

9. Intellectual Property

  • Our platform — The Fulcrank platform, including its design, code, features, and branding, is owned by Fulcrank and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.
  • Your content — You retain ownership of your brand data, preferences, and any content you create or approve through the Service.
  • Feedback — If you provide feedback or suggestions about the Service, we may use them without obligation to you.

10. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access:

  • The Service is provided on a best-efforts basis. We do not offer a formal Service Level Agreement (SLA).
  • We may perform planned maintenance that temporarily affects availability. Where possible, we will give advance notice.
  • We are not liable for downtime caused by third-party services (Instagram, Stripe, hosting providers) or circumstances beyond our control.

11. Account Suspension and Termination

We may suspend or terminate your account if:

  • You breach these Terms or the Acceptable Use policy.
  • Your payment fails and is not resolved within a reasonable period.
  • We are required to do so by law or to protect the rights of others.

For non-urgent violations, we will provide 14 days' notice before termination. Serious violations (such as illegal activity or abuse) may result in immediate suspension without notice.

Upon termination, the same data handling applies as described in the Cancellation section above.

12. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
  • Our total liability to you for any claims arising from or related to the Service is limited to the total fees you paid to Fulcrank in the 12 months preceding the claim.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • We are not liable for any actions taken by Instagram or other third-party services in relation to your account.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify and hold harmless Fulcrank, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Content you approve and publish via the Service.
  • Your breach of these Terms.
  • Your violation of any third-party rights, including Instagram's Terms of Use.

14. Dispute Resolution

If a dispute arises from these Terms or your use of the Service:

  • Good faith negotiation — Both parties agree to attempt to resolve the dispute informally by contacting each other first.
  • Jurisdiction — If the dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

15. Governing Law

These Terms and any disputes arising from them are governed by and construed in accordance with the laws of England and Wales.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you at least 30 days in advance by email or through a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with any changes, you may cancel your subscription before they take effect.
